Affiliate Programme Terms

1. Programme Overview

The GrowDo Affiliate Programme ("Programme") allows approved partners ("Affiliates") to earn revenue-share commission on paid subscriptions generated through their unique referral links. Affiliates earn 20% of the actual revenue received from each referred subscriber.

By participating in the Programme, you agree to the terms set out in this document.

2. Eligibility

• Applicants must have at least 5 successful referrals through the GrowDo Referral Programme.
• You must have a GrowDo account in good standing with no history of fraudulent activity.
• Affiliates must be at least 18 years old and legally able to enter into a business agreement.
• GrowDo reserves the right to approve or reject applications at its sole discretion.

3. Commission Structure

3.1 Revenue Share

Affiliates earn 20% of the final price the customer actually pays (after all discounts, promotions, and sales have been applied). Commission is calculated on the net revenue received by GrowDo, not the list price.

3.2 Monthly Subscriptions

For monthly subscribers, commission is earned on each monthly payment for the first 12 months of the subscription only. From month 13 onwards, no further commission accrues for that subscriber.

3.3 Annual Subscriptions

For annual subscribers, commission is earned on each annual payment for as long as the subscription remains active.

3.4 Confirmation Period (28 Days)

Commission is only confirmed after a 28-day confirmation period: the referred user's 14-day trial + 14-day cooling-off period after their first payment. If a refund or chargeback occurs within this window, the commission is clawed back.

3.5 Conversion Window (44 Days)

Referred users must convert to a paid subscription within 44 days of creating their account (14-day trial + 30 days). If a referred user creates a free account and converts after this window (e.g. during a later promotional sale), the affiliate commission is not paid.

4. Discounts & Promotions

4.1 Affiliate Discount

Customers who sign up via an affiliate link receive 15% off their subscription.

4.2 Additional Promotions

GrowDo reserves the right to run additional promotional discounts (e.g. seasonal sales, flash offers) that may stack on top of the affiliate discount. When discounts stack, the affiliate discount is applied first, followed by the promotional discount.

4.3 Commission on Discounted Sales

Commission is always calculated on the final price after all discounts. This means promotional periods may temporarily reduce the commission per transaction.

5. Payouts

5.1 Minimum Balance

Payouts are available when your confirmed commission balance reaches £10.00 or more. If your balance is below £10.00, it will remain as credit in your account. GrowDo is not obliged to issue payment until the £10.00 threshold is met. Once above £10.00, you may withdraw your full balance.

5.2 Payment Method

Payouts are processed via Stripe Connect. You must connect a valid Stripe account through your affiliate dashboard to receive payments. It is your responsibility to ensure your Stripe account and banking details are accurate and up to date.

5.3 Processing Time

Payouts are processed within 5 working days of a payout request being approved.

5.4 Failed Payments

If a payout transfer fails (e.g. due to incorrect bank details or an incomplete Stripe Connect setup), GrowDo will send 3 notification emails over a 14-day period. If the issue is not resolved after the third notification, the payment will be held as "pending" until you update your payment details. Pending payments are held for up to 90 days, after which they become subject to the dormancy rules in Section 6.

6. Dormancy & Termination

6.1 Two-Tier Dormancy Policy

To keep the Programme fair and sustainable, the following dormancy rules apply based on your total lifetime signups:

6.2 Balance on Closure

• If your balance is £10.00 or more at the time notice is served, GrowDo will pay out the full balance before closing the account.
• If your balance is below £10.00, the remaining credit is forfeited upon account closure.

6.3 Discretionary Waiver

GrowDo may, at its sole discretion, waive dormancy rules for individual Affiliates on a case-by-case basis.

6.4 Voluntary Termination

Either party may terminate the affiliate relationship with 30 days' written notice. Upon voluntary termination, confirmed commissions above the £10.00 threshold will be paid out.

6.5 Immediate Termination

GrowDo may terminate an affiliate account immediately and without notice if the Affiliate engages in prohibited activities (see Section 8) or violates these terms. In cases of fraud or abuse, all unpaid commissions may be forfeited.

7. Tax & Banking Responsibilities

• It is your sole responsibility to provide and maintain accurate banking and Stripe Connect details in your affiliate dashboard.
• You are responsible for declaring all commission income to the relevant tax authority in your jurisdiction and paying any applicable taxes.
• GrowDo does not withhold tax on commission payments and does not provide tax advice.
• GrowDo will not compensate for payments lost due to incorrect banking details provided by the Affiliate.

8. Subscriber Cancellations & Refunds

• If a referred subscriber cancels their subscription, you will be notified via email and no further commission will accrue for that subscriber.
• Refunds or chargebacks processed within 30 days of payment will result in the corresponding commission being clawed back from your balance.
• For monthly subscribers, cancellation stops commission from the cancellation date — previously confirmed monthly commissions are not affected.

9. Affiliate Benefits

• Free Pro access: Approved Affiliates receive complimentary GrowDo Pro access for 1 year, renewable based on activity (at least 1 referral per rolling 3-month period).
• Lifetime Pro access: Affiliates who reach 20 or more total successful referrals earn permanent Pro access regardless of ongoing activity.
• Dashboard: Real-time analytics showing clicks, conversions, earnings, and payout history.

10. Prohibited Activities

• Misrepresenting GrowDo, its features, or pricing in promotional materials.
• Using spam, unsolicited messaging, or deceptive practices to generate referrals.
• Bidding on GrowDo-branded keywords in paid search without written permission.
• Creating fake accounts or manipulating referral tracking.
• Self-referrals or referring accounts you own or control.
• Any activity that violates applicable laws or regulations.

11. Intellectual Property

Affiliates may use GrowDo's name, logo, and approved marketing materials solely for the purpose of promoting GrowDo. All intellectual property remains the property of GrowDo. Affiliates must not modify GrowDo branding or create materials that could be confused with official GrowDo communications.

12. Changes to These Terms

• GrowDo reserves the right to modify these terms, commission rates, discount structures, or Programme rules with 30 days' notice via email.
• GrowDo may run promotional campaigns and sales that affect the final price paid by customers (and therefore the commission earned) without separate notice to Affiliates.
• Continued participation after changes take effect constitutes acceptance of the updated terms.
• These terms are governed by the laws of England and Wales.
